Affiliate Terms and Conditions

Please read this Agreement carefully before registering and promoting Themefic as an Affiliate.

By participating in the Program, you are authorized to legally advertise our website and earn commissions on memberships and products purchased by individuals referred to Themefic through your website or personal referrals.

By signing up for the Themefic Affiliate Program (Program), you agree to the terms and conditions outlined in this Agreement.

Approval or Rejection of the Application

We reserve the right to approve or reject any Affiliate Program Application at our sole discretion. You will not have any legal recourse if your Affiliate Program Application is rejected.

Commission Terms

1. Commissions are paid once a month.
2. To qualify for a commission, a sale must be a qualified sale, meaning it must remain active for a minimum of 60 days.
3. To prevent fraud, new affiliates will receive their first payout after making 3 qualified sales. After that, there is no minimum threshold, and you will be paid for each qualified sale once the minimum payout is reached.
4. Self-referrals are not allowed, and you will not earn commissions on your own accounts.
5. Only one commission will be paid per referral. If a referral makes multiple purchases, you will earn a commission on the first order only.
6. Commission will be shared for completed transactions only. Chargebacks or refunded sales will not be eligible for commission.

Termination

Your affiliate account may be suspended or terminated for any of the following reasons:

1. Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
2. Spamming (mass email, newsgroup posting, etc.).
3. Advertising on sites that promote illegal activities.
4. Failing to disclose the affiliate relationship for any promotion that qualifies as an endorsement under FTC guidelines or state laws.
5. Violating intellectual property rights. Themefic may require a license agreement from affiliates who use our trademarks.
6. Offering rebates or other incentives as a form of kickback from your commission. However, bundling Themefic products with other items is acceptable.
7. Engaging in self-referrals or fraudulent transactions.

Themefic reserves the right to terminate any Affiliate account at any time for violations of this Agreement.

Affiliate Links

You may use graphic and text links on your website and in email messages. You may also advertise Themefic in online and offline classified ads, magazines, and newspapers.

You may use the provided graphics and text or create your own, provided they comply with the conditions outlined in this Agreement.

Coupon and Deal Sites

Themefic occasionally provides coupons to selected affiliates and newsletter subscribers. If you are not pre-approved or assigned a branded coupon, you are not allowed to promote any coupon. The following terms apply to affiliates promoting deals or coupons:

1. Affiliates must not use misleading text in links, buttons, or images implying unauthorized deals.
2. Affiliates must not bid on terms like Themefic Coupons, Themefic Discounts, or similar phrases implying the availability of coupons.
3. Affiliates must not use pop-ups, pop-unders, iframes, or other actions to set affiliate cookies unless the user has explicitly shown interest in activating a deal.
4. Visitors must be able to view deal details before an affiliate cookie is set.
5. Affiliates must not claim deals or coupons where none exist. Misleading visitors will result in immediate removal from the program.

Pay Per Click (PPC) Policy

PPC bidding is not allowed without prior written permission.

Liability

Themefic is not liable for indirect or accidental damages (loss of revenue or commissions) due to tracking failures, database losses, or any harm to the Program or our websites.

We do not guarantee error-free operation of the Program or our websites and are not liable for any interruptions or errors.

Term of the Agreement

This Agreement is effective from the moment you are accepted into the Program and will remain in effect until your Affiliate account is terminated. If we modify the Agreement, we will notify all affiliates via email.

If you do not agree with the modifications, your only option is to terminate your account. Continuing participation in the Program signifies your acceptance of the changes.

Indemnification

Affiliates agree to indemnify and hold Themefic, its affiliates, and their respective employees, officers, directors, and successors harmless from any claims, damages, liabilities, and expenses (including legal fees) resulting from any breach of this Agreement or any actions that constitute negligence, misrepresentation, or misconduct by the Affiliate.

Governing Law, Jurisdiction, and Attorney Fees

This Agreement is governed by the laws of the People’s Republic of Bangladesh. Any disputes arising under or related to this Agreement shall be exclusively resolved in the courts of Bangladesh.

In any legal action to enforce this Agreement, the prevailing party is entitled to recover its costs and attorney fees.

Electronic Signatures

This Agreement constitutes an electronic contract, and by completing the Themefic application process, you acknowledge your acceptance of the terms and conditions. This electronic signature holds the same legal weight as a handwritten signature.
